Terms of Service

Rate Cloud Terms of Use

1. Parties and subject matter

This User Agreement governs the use of the rate-cloud.com website, the personal account and the Rate Cloud API. The service operator is Rate C Ltd, a company registered in Hong Kong (hereinafter referred to as the «Operator»). The User is a natural or legal person who has created an account or uses the service.

The Operator provides the technical capability to send requests to available models via the API under the terms of the selected subscription or trial access. The service is not an operator of third-party models and does not guarantee the consistency of their behavior, response content or uninterrupted availability.

When creating an account, the User separately confirms acceptance of this Agreement and the Refund Policy and acknowledgment of the Privacy Policy. The date and edition of consent are recorded in the system. Without confirmation, a new account is not created. Using the account means the user is performing the current obligations under this Agreement; material changes to the terms are published before they apply to new purchases.

2. Account and user authority

The User provides accurate data for registration, maintains a current email address and is responsible for actions taken through their account and the API keys they have issued. Sharing the secret key with third parties, publishing it in repositories or forwarding it to support is not permitted. If compromise is suspected, the User must immediately disable or reissue the key and notify the Operator.

The Operator may require email confirmation and Telegram linking for trial access or sensitive actions. Telegram linking by itself does not mean two-factor login protection is enabled. The User independently sets allowed models, IP/CIDR and key expiry in the available interfaces; these settings cannot expand paid rights.

Use of the service by minors is permitted only with the consent of a legal representative required by applicable law. A User acting on behalf of an organization confirms their authority.

3. Subscription and provision of access

One subscription grants access to the specified model for 30 calendar days and four parallel slots. Subscriptions for different models are not combined; subscriptions for the same model accumulate slots in the account's shared pool. An overall limit of 60 initiated requests per minute per account applies. There is no separate monthly token quota, but the technical limits of the model, the provider and reasonable security restrictions remain.

The presence of a model in informational material does not confirm its technical readiness or purchase availability. Access is determined by the server catalog, confirmed payment, actual subscription status and technical verification results. A paid but unavailable model remains visible in the account with its status; the Operator handles unavailability requests in accordance with this Agreement and the Refund Policy.

Trial access, when conditions are met, is granted once for three hours with one shared slot. It is not a paid subscription and may be limited to available models. The Operator may prevent repeated trial acquisition through multiple accounts or identities.

4. Order and payments

The actual price, currency, composition and term are displayed in the order before payment. Creating an order without a confirmed payment does not grant access rights. As of the date of this edition, no public payment provider is connected; the order receives an integration-pending status and should not be treated as paid. The Operator does not request bank card details through the support chat.

Once payments are connected, the right of access arises after a successful payment is confirmed by an internal payment event. Renewal, additional slots and refunds apply only to the relevant confirmed transactions. The voluntary refund procedure is defined by the Refund Policy; mandatory consumer rights under applicable law are preserved.

5. Acceptable use

The User is not entitled to use the service for illegal activities, infringement of third-party rights, distribution of malicious code, exploitation of vulnerabilities, bypassing authorization, IP restrictions, slot or rate limits, reselling access without the Operator's written consent, mass automated creation of accounts, or any actions that could disrupt the operation of the service or provider.

Attempts to extract others' data, secrets and system instructions, bypass protective mechanisms through specially crafted requests, use of stolen payment instruments, and concealing traffic origin to circumvent restrictions are prohibited. The Operator may restrict a specific key or account during investigation of a confirmed violation, documenting the grounds. The User may challenge the block through support.

The User is responsible for the lawfulness of data transmitted via the API and the existence of rights to process it. Passwords, payment details, medical or other sensitive information should not be transmitted unless required for the task and supported by an appropriate legal basis and protection.

6. Model responses and limits of liability

Model responses are generated automatically and may be erroneous, incomplete, unsafe or not meet the User's expectations. The User must independently verify the result before using it in code, commercial, financial, medical or legal activity. The Operator does not guarantee the suitability of the result for a specific purpose.

The Operator takes reasonable measures for service resilience and protection, but availability depends on network and third-party components. Planned maintenance, outages and provider failures may temporarily interrupt processing. This does not limit the User's mandatory rights in the event of non-provision or inadequate provision of the paid service.

To the extent permitted by applicable law, the Operator's liability for proven direct damage under a specific paid subscription is limited to the amount paid for it. The limitation does not apply where the law prohibits its application, including intent, gross negligence, or mandatory consumer rights.

7. Suspension and termination

The Operator may temporarily suspend access in the event of a confirmed security threat, abuse, violation of law, or need to protect infrastructure. The measure must be proportionate; where possible, the User is informed of the reason and the method of appeal. An automatic technical block does not constitute a final decision on a violation.

The User may disable and delete keys, terminate sessions and request account deletion through the available interface. Deletion may be restricted during an active or future paid period and mandatory retention of accounting records. Refund and termination of access are governed by the Refund Policy.

8. Data, changes and disputes

Data processing procedure is established by the Privacy Policy. The Operator may update the terms indicating a new edition date. The new edition applies to new purchases after publication; retroactive worsening of already paid terms is not permitted, except as required by law or measures necessary for security.

Inquiries regarding quality, payments and disputes are accepted at [email protected] and via contacts. The parties seek to resolve disputes through correspondence. Hong Kong law applies to the extent that the choice of law does not deprive the User of mandatory protection under the law of their place of residence.
